1. Introduction

This document constitutes the Privacy Policy and Terms of Service ("Agreement") between BIMSIO ("we," "us," "our") and the user ("you," "your") of BIMSIO's software add-ins ("Software"). By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Privacy Policy

2.1 Information Collection and Use

The Software stores user-defined settings in local file(s) on your device. This data:

• Does not include personally identifiable information
• Is not transmitted to BIMSIO or any third party
• Is used solely to provide functionality within the Software
• Remains under your complete control

2.2 Data Logging

Runtime and error information may be logged to local file(s) on your device for diagnostic purposes. This log data:

• Is stored locally on your device only
• Is never automatically transmitted to BIMSIO or any third party
• May be voluntarily shared by you for troubleshooting purposes at your sole discretion

2.3 No Data Collection

BIMSIO does not collect, store, process, or transmit any user data. The Software operates entirely offline with respect to BIMSIO's systems. We have no access to your data unless you voluntarily provide it to us.

2.4 Third-Party Links

The Software may contain links to external websites or services not operated by BIMSIO. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You access such third-party content at your own risk.

2.5 Children's Privacy

The Software is not directed to individuals under the age of 13. We do not knowingly collect any information from children under 13.

3. Terms of Service

3.1 License Grant

Subject to the terms of this Agreement, BIMSIO grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for its intended purpose.

3.2 Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works based on the Software
• Distribute, sell, lease, or sublicense the Software
• Use the Software for any unlawful purpose
• Remove or alter any proprietary notices or labels

3.3 Intellectual Property

The Software and all associated intellectual property rights are and shall remain the exclusive property of BIMSIO. This Agreement does not convey any ownership interest in the Software.

4. Disclaimers

4.1 "AS IS" Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

4.2 No Guarantee

BIMSIO DOES NOT WARRANT THAT:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from the Software will be accurate or reliable
• Any errors in the Software will be corrected

4.3 Use at Your Own Risk

Your use of the Software is at your sole risk. You are solely responsible for any damage to your computer system, loss of data, or other harm that results from your use of the Software.

4.4 Professional Advice Disclaimer

The Software is intended as a productivity tool only. Nothing in the Software constitutes professional advice. You should consult appropriate professionals before making decisions based on information or results obtained through the Software.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIMSIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your access to, use of, or inability to use the Software
• Damages resulting from any unauthorized access to or alteration of your data
• Damages resulting from any third-party content or conduct
• Damages resulting from any errors, mistakes, or inaccuracies in the Software
• Personal injury or property damage resulting from your use of the Software
• Any other matter relating to the Software

6. Indemnification

You agree to indemnify, defend, and hold harmless BIMSIO and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of this Agreement
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable law or regulation
• Any content or data you submit or transmit through the Software

7. Termination

7.1 Termination by You

You may terminate this Agreement at any time by uninstalling and ceasing all use of the Software.

7.2 Termination by BIMSIO

BIMSIO may terminate or suspend your access to the Software at any time, with or without cause, with or without notice.

7.3 Effect of Termination

Upon termination, your license to use the Software immediately ceases. Sections 4, 5, 6, and 8 shall survive termination.

8. General Provisions

8.1 Entire Agreement

This Agreement constitutes the entire agreement between you and BIMSIO regarding the Software and supersedes all prior agreements and understandings.

8.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

8.3 Waiver

The failure of BIMSIO to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

8.4 Assignment

You may not assign or transfer this Agreement without BIMSIO's prior written consent. BIMSIO may assign this Agreement without restriction.

8.5 Modifications

BIMSIO reserves the right to modify this Agreement at any time. Changes will be effective immediately upon posting. Your continued use of the Software after any changes constitutes acceptance of the modified Agreement.

8.6 Force Majeure

BIMSIO shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

10. Acknowledgment

BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.
